Where to Open a Company: Armenia, Georgia or Azerbaijan?
Three neighbouring countries offer different models for international business. Compare incorporation, tax, banking, residence, foreign hiring, remote setup and offices.
Armenia, Georgia and Azerbaijan are often placed on the same shortlist: neighbouring markets, relatively quick incorporation, accessible operating costs and a useful position between Europe, the Middle East, Russia and Central Asia. From a founder’s perspective, however, they are not three versions of the same “low-cost jurisdiction”. Each country has a distinct commercial logic.
Armenia is especially relevant to technology, engineering and research teams and to businesses that genuinely need access to the Eurasian Economic Union market. Georgia can suit service and export companies that reinvest profits and value a fast registry, developed digital banking and a broad network of trade arrangements. Azerbaijan is strongest where the project is connected with trade, logistics, industry, energy, the Caspian region or the Middle Corridor.
An incorporation certificate does not automatically solve four later tasks: opening a bank account, obtaining a founder’s residence status, securing the right of foreign employees to work, and demonstrating real local operations. The jurisdiction should therefore be chosen for the complete operating model, not for one headline tax rate.

The short answer
- Armenia offers the clearest link of the three between genuine entrepreneurial activity and temporary residence for a founder. It also provides EAEU market access and a strong engineering environment. International payments, export controls and the reality of local functions still require careful planning.
- Georgia generally has the quickest and most straightforward ordinary LLC registration and is particularly attractive when profit remains in the company for growth. Following the 2026 labour-migration reform, founders and foreign employees must separately confirm their right to work and any exemption.
- Azerbaijan is a natural choice when a business genuinely needs Baku, local customers, Caspian logistics, industrial infrastructure or a special economic regime. A founder’s corporate residence route requires materially more capital and business activity than incorporation itself.

These rates are a starting point, not a tax computation. The final position depends on the type of income, VAT, withholding, double-tax treaties, recipient status, transfer pricing and the owner’s tax residence.
What to decide before incorporation
Corporate documents should follow, not precede, answers to seven questions:
- What will the company sell? Services, software, licences, goods, manufacturing or intermediation.
- Where are customers and suppliers? Payment geography matters for VAT, bank compliance, sanctions and foreign-exchange operations.
- Where is value created? Identify who develops the product, signs agreements, controls intellectual property and makes budget and commercial decisions.
- Who will own the company? Individuals, a foreign holding company or partners with different rights.
- Who will physically relocate? Founder, director, key employees and families—and on what legal basis they will live and work.
- Is a special status genuinely required? A free or industrial zone, technology regime, investment incentive or the ordinary tax system.
- What is the intended exit or use of profit? Dividends, reinvestment, external investment, a share sale or a later relocation.
The answers influence the country, articles of association, governance, capital, bank selection and immigration route.
Basic company-registration steps
The documents differ, but the launch sequence is broadly similar in all three states.
1. Select the legal form and ownership structure
The local limited-liability form is the usual choice for an ordinary small or medium-sized international business. Before filing, settle ownership percentages, voting and reserved matters, the director’s powers, transfer restrictions and partner-exit rules.
If the founder is a foreign company, expect to provide a recent register extract, constitutional documents and a corporate resolution. Depending on the issuing country and applicable treaty, documents may require an apostille or consular legalisation followed by a local-language translation.
2. Clear the name and secure the legal address
The name must be available and comply with local restrictions. In Armenia, use of “Armenia”, “Armenian” and translations may trigger a special annual permission and fee. Georgia restricts use of an identical or confusingly similar registered business name without consent.
A registered address is not merely a line on a form. Georgia expressly requires a physical domestic address and evidence of the right to use it or the owner’s consent. Armenia and Azerbaijan also require a defensible basis for the address. A bank or migration authority may later ask where the company actually operates.
3. Prepare the corporate file
The usual package includes:
- a sole-founder decision or meeting minutes;
- articles of association or a standard charter;
- details of shares, the director and representatives;
- passports of founders and management;
- documents of a foreign corporate founder;
- evidence for the legal address;
- a power of attorney for the filing representative;
- translations, notarisation, apostilles or legalisation; and
- evidence of capital payment where required by the charter, a regulated sector or an immigration route.
4. File and obtain tax access
Registration and tax enrolment are linked in each jurisdiction, but the register extract is only the beginning. The company must activate the relevant tax portal, electronic signature, VAT treatment, accounting and payroll processes.
5. Put continuing compliance in place
Before invoicing, appoint an accountant, map filing dates, document beneficial ownership, organise corporate approvals and confirm whether the activity requires a licence, notification or sector-specific permission.
6. Start the bank process in parallel
Prepare the KYC file while incorporating. The bank will assess the owners, business model, countries, currencies, source of funds, expected turnover, counterparties and the commercial reason for operating locally. Registration never guarantees an account.
7. Legalise the people and the real activity
Residence, the right to work, payroll, social contributions, office arrangements and management procedures should be planned alongside incorporation. A company designed only on paper can create tax and banking problems in both its place of registration and the country from which it is actually managed.
Armenia: technology, the EAEU and a clear business-residence route
Why Armenia can be attractive
Armenia combines relatively straightforward company law, an 18% corporate income-tax rate, a developed engineering and technology environment and access to the EAEU. Enterprise Armenia describes the common market as covering approximately 184 million consumers. For goods, membership can provide a common customs territory and recognition of certain documents, but rules of origin, technical regulations, product restrictions, sanctions and export controls still apply.
Yerevan also has a dense network of developers, engineers, educational initiatives and diaspora connections. This can make Armenia a practical base for R&D, product development, local recruitment and regional professional services—not merely a registration address.
How to register an Armenian LLC
The official system operates as a one-stop shop. A standard-form LLC can be registered electronically, without charge and potentially immediately by users who have the necessary domestic access. The online service is, however, designed for Armenian citizens. A foreign founder commonly files in person or through a representative and should budget time for passport translation, a power of attorney and any foreign corporate documents.
The practical sequence is to clear the name and address; agree the founder, share, director and capital; prepare the decision and charter; translate and authenticate foreign documents where required; file with the State Register; obtain the register extract and tax details; then activate tax, accounting and banking processes. An ordinary LLC has no general statutory minimum capital, although regulated activities can have separate requirements.
Tax and special regimes
The standard profit-tax rate is 18%, VAT is 20% and the headline domestic withholding rate on dividends is 5%. A turnover-tax regime is available to qualifying smaller taxpayers within the applicable revenue ceiling—Enterprise Armenia refers to AMD 115 million—but rates and eligibility depend on the activity. It should not be assumed to be the universal answer for an international service business.
Armenia also operates free economic zones with substantial incentives for approved residents. A zero rate advertised for a zone does not extend automatically to an ordinary Yerevan company: the activity must qualify, resident status must be granted and the conditions must continue to be met.
Corporate banking
The Central Bank publishes a substantial list of licensed banks and their SWIFT codes. Major institutions offer AMD and foreign-currency accounts, corporate cards and remote management. Ameriabank, for example, advertises free opening and no minimum balance for the relevant business-account product.
Choice and multicurrency capability are advantages, particularly for technology and export clients. Payments involving sanctioned countries, dual-use goods, cryptoassets, opaque intermediaries or rapid pass-through activity nevertheless attract enhanced scrutiny. EAEU market access does not override export controls or the sanctions policies of correspondent banks.
Founder and employee residence
Entrepreneurial activity is a statutory basis for temporary residence. The status is generally granted for up to one year and may be renewed annually; the official fee shown for temporary status is AMD 105,000. The migration authority can examine evidence of actual activity rather than relying on the register extract alone.
Founders, managers and authorised representatives of foreign-invested commercial organisations are among those exempt from a work permit. For ordinary foreign employees, the employer uses the `workpermit.am` system linking the vacancy, employment agreement, work authorisation and temporary residence. EAEU nationals benefit from separate work-permit exemptions, although lawful stay and registration must still be checked.
Office and team
Yerevan allows a small team to start without a long lease and fit-out. At the review date, individual operators advertised a workstation from AMD 47,000 per month at Tanger, a coworking place from AMD 60,000 at Fabula and an equipped two-to-four-person office from AMD 160,000. These are examples, not a market average; services, tax and term should be compared.
Armenia is most convincing where a founder or product team genuinely operates there and the engineering environment or EAEU route has commercial value. It is less persuasive as an empty vehicle created only to pass payments through.
Georgia: fast registration, tax on distributions and broad trade links
Why Georgia can be attractive
Georgia’s defining feature is its “Estonian-model” corporate tax. The standard 15% rate is principally triggered when profit is distributed or treated as distributed, rather than on every year-end accounting profit. When earnings remain in the company and are used for permitted business purposes, corporate tax is generally deferred. That can suit a growth business reinvesting cash flow.
Georgia also has a DCFTA with the EU and agreements with EFTA, China, Turkey and several CIS states. This can support exports of qualifying Georgian-origin goods. It does not turn a Georgian company into an automatic duty-free channel for foreign goods: origin, customs classification and product rules remain decisive.
How to register a Georgian LLC
The National Agency of Public Registry offers registration within one business day for GEL 200 or on the filing day for GEL 400. There is no mandatory general subscribed capital for an LLC; capital and share classes can be tailored in the constitutional documents.
The filing normally includes the founding agreement and charter, founders’ signatures, consents from managers and representatives, a physical address in Georgia and evidence of the right to use it. Signatures are notarised, certified before an authorised official or completed through a legally accepted electronic method. Foreign documents require translation and the appropriate form of authentication.
Registration and tax enrolment are connected, but the company must then configure its Revenue Service account, VAT position, bookkeeping, payroll and electronic signature.
Tax
Standard VAT is 18% and the headline dividend withholding rate is 5%. Deferral until distribution is not a universal zero rate. Non-business expenditure, gratuitous transfers and some other payments can be treated as deemed distributions and create tax before a formal dividend.
International Company, Virtual Zone, Free Industrial Zone and sector-specific incentives each have their own conditions. An export or IT label alone does not give every company access to them.
Corporate banking
The National Bank lists institutions including Bank of Georgia, TBC Bank, foreign-capital banks and newer digital participants. Corporate online and mobile banking is developed, with business cards, multicurrency accounts, user permissions, APIs and invoicing or payment tools.
The digital experience can be attractive to an international service company, but a modern interface does not mean automatic remote approval for every non-resident. Banks still expect transparent ultimate beneficial owners, source of wealth and funds, agreements, a website, counterparties, forecast turnover and a coherent reason for the company’s Georgian connection.
Residence and the new right to work
A registered labour migrant or foreign entrepreneur can seek a work residence permit. Core conditions include evidence of monthly income not lower than five times the subsistence minimum for an average consumer and turnover of the employer or foreign-founded company of at least GEL 50,000 for each applicant; a separate GEL 35,000 threshold applies to educational and medical organisations.
From March 2026, foreign labour is also governed by a separate right-to-work regime. A local employer files after concluding the employment agreement, while a self-employed foreigner applies personally. The legislation provides for a review of up to 30 calendar days and a fee not exceeding GEL 500. In the general case, a person already in Georgia applies for work residence within ten days after receiving the right to work; a person abroad applies for a D1 visa within 30 days.
The consolidated law contains exemptions for certain management roles, some services supplied to a non-resident and specified short-term professional work. Share ownership alone therefore does not settle the issue. The founder’s real role, company category, remuneration and clients must be compared with the law in force.
Office and team
Tbilisi has a broad range of coworking and serviced offices. As one current example, Digital Jungle advertised flexible desks at GEL 299–499 per month, depending on term, and a six-person private office at GEL 2,999 per month.
Georgia is often a natural fit for export services, a regional sales office, SaaS and businesses that reinvest profit. It calls for more caution where the founder expects company registration alone to confer a right to live and work.
Azerbaijan: the Caspian, industrial infrastructure and a local market
Why Azerbaijan can be attractive
Azerbaijan is best understood as access to a specific economy: Baku, energy and oilfield services, construction, industrial supply chains, Caspian logistics and routes between Central Asia, the Caucasus, Turkey and Europe. Official materials describe the Middle Corridor as a strategic route between Asia and Europe.
Special regimes are available for qualifying export manufacturing and logistics. The Alat Free Economic Zone advertises relief from corporate taxes, VAT and customs duties, no local-partner requirement and a separate regulatory framework. Industrial-park residents can receive up to ten years of exemptions from profit, property and land taxes and relief on imports of production equipment. These are project regimes; an ordinary Baku MMC does not receive them automatically.
How to register an Azerbaijani MMC
The State Tax Service is the single registration authority. Commercial entities with foreign investment are registered within up to two days. Electronic LLC registration carries no state fee; paper registration of an ordinary legal entity costs AZN 15, while ASAN Imza or an electronic signature creates a separate published cost of AZN 18.
An ordinary LLC has no general minimum capital. Its charter must determine when capital is paid: if no period is stated, payment is due before registration; if a period is stated, it may not exceed three months. Regulated sectors have separate minimums.
A foreign founder normally provides the decision, charter, passport or foreign-company documents, legal-representative details, legal address, power of attorney and capital evidence where applicable. Foreign-origin documents require apostille or legalisation in the applicable form and translation.
Tax
The standard corporate income-tax rate is 20%, VAT is 18% and the headline dividend withholding rate is 5%. A simplified turnover-based regime may apply to certain small taxpayers, but it has thresholds, sector exclusions and special rates. An international company should model its VAT, expenses and transactions before choosing it.
Azerbaijan may be more efficient than a lower-tax country when the project receives infrastructure, an incentive, a local contract or a logistics advantage. Conversely, for a remote service company without a local commercial connection, the 20% rate and additional immigration conditions may make it less natural.
Corporate banking
Local banks provide corporate online banking, domestic and foreign-currency accounts and international payments. ABB, for example, offers a digital business platform, international transfers and SWIFT-payment tracking.
A foreign founder should be ready to demonstrate a local business purpose through agreements, staff, an office, suppliers, licences or a project. The weaker the company’s connection to Azerbaijan and the more complex its payment geography, the more supporting evidence and questions should be expected.
Founder and employee residence
An MMC with nominal capital and a founder’s residence permit are different projects. A qualifying manager of a foreign-invested legal entity or a founder holding at least 51% can rely on the corporate basis for temporary residence where paid-in capital is at least AZN 50,000. After at least one year on the same basis, renewal requires evidence of the prescribed turnover; the stated benchmark is AZN 100,000 over the previous year.
Exceptions from the capital and turnover tests exist for certain industrial-park residents, investment-promotion holders, startup-certificate holders and other categories. Eligibility should be confirmed before filing.
As a general rule, the employer obtains a work permit for a foreign employee. The migration authority considers the availability of suitable local workers, and a permit is issued for up to one year with renewal possible. Exemptions include certain entrepreneurs, managers of foreign-founded companies and founders holding at least 51% who work in their own company, as well as specified specialists and participants in special regimes.
Office and team
Baku offers both international business centres and local coworking. Fikir advertised a dedicated desk at AZN 350 per month and a private six-person office at AZN 1,800. These are operator examples, not a market average.
Azerbaijan is strongest where the company is built around a local or Caspian market, industry, logistics or a qualifying special zone. It is less obvious for a business seeking only a low-cost vehicle for foreign invoicing without local people or customers.

The figures are public tariffs from individual venues, not an appraisal of the real-estate market. A low advertised rate may require a long contract, exclude tax or cover one desk only. Compare the deposit, VAT, utilities, furniture, internet, meeting rooms, 24-hour access, right to use the address and early-termination terms.
A serviced office is useful at launch but may not prove substantive operations. If a company claims to manage intellectual property, make investment decisions or bear key risks in a country, it needs people, authority, records and a genuine management process—not only mail handling.
A bank account is a separate project
Whichever country is chosen, a bank commonly requests:
- constitutional documents, a register extract and tax number;
- the complete ownership chain to the ultimate beneficial owners;
- passports, addresses and tax residences of owners and signatories;
- the owner’s source of wealth and the company’s source of funds;
- a business plan or clear product description;
- agreements, invoices, letters of intent or correspondence with prospective clients;
- a website, corporate email and professional profiles;
- countries, currencies, counterparties and expected turnover;
- the role of local directors, staff and office; and
- licences and internal AML procedures where relevant.
The efficient approach is to prepare one consistent KYC file and select two genuinely suitable banks. Sending incomplete applications across the market can create conflicting explanations. A refusal is not a legal prohibition, but it may reveal that the structure, payment geography or commercial narrative needs work.
Payment gateways, merchant acquiring, platform payouts and required currencies must also be checked. A corporate bank account does not guarantee access to Stripe, PayPal, a marketplace or a particular correspondent bank.
A founder’s residence permit is not tax residence
Immigration status answers whether a person may live in a country. Tax residence determines where and to what extent income is taxed. The two statuses can begin on different dates and follow different tests.
Before relocating, model the days spent in each state, family and permanent home, centre of vital and economic interests, director salary, dividends, interest and gains, controlled-foreign-company rules in the former state, treaty tie-breakers and the point at which the previous tax residence ends.
In the same way, a company does not become indisputably tax resident only because it was incorporated locally. Systematic decision-making from another country can create corporate-residence or permanent-establishment exposure there.
Five formal differences that can change the choice
- When corporate tax is paid. Armenia and Azerbaijan tax calculated taxable profit under the ordinary model. Georgia principally moves corporate tax to a distribution or deemed-distribution event.
- The cost of the immigration basis. Armenia expressly recognises entrepreneurial activity as a basis for temporary residence. Georgia looks to income, turnover and the labour regime. Azerbaijan links the founder route to paid-in capital from AZN 50,000 and later turnover.
- The foreigner’s right to work. Armenia and Azerbaijan contain direct exemptions for specified founders and managers. Following Georgia’s 2026 reform, the right to work and exemptions require especially careful role-by-role analysis.
- Economic orientation. Armenia connects to the EAEU and a technology ecosystem; Georgia to the Black Sea and a network of free-trade arrangements; Azerbaijan to the Caspian, Central Asia, industry and the Middle Corridor.
- The price of a special regime. A free-zone or incentive status can transform the tax result but usually requires separate admission, eligible activity, investment, exports or real presence.
Choosing for a specific business model
Armenia is worth prioritising when
- the founder and core team will genuinely live and work there;
- the business involves software, engineering, R&D or professional services;
- EAEU access has real operational value;
- ordinary 18% profit taxation fits the model; and
- the business can document product origin, export controls and sanctions compliance.
Georgia is worth prioritising when
- earnings will largely be reinvested;
- a fast regional office or export-services company is required;
- developed digital banking and flexible offices matter;
- trade agreements correspond to the genuine origin chain; and
- each foreigner’s work and immigration route has been checked under the 2026 rules.
Azerbaijan is worth prioritising when
- the company will have local customers, suppliers, personnel or assets;
- the project concerns logistics, industry, energy, construction or Caspian trade;
- it can qualify for AFEZ, an industrial park or an investment incentive;
- the founder can capitalise the company and evidence turnover for residence; and
- a representative Baku presence has commercial value.
Can a non-resident open the company remotely?
Foreign ownership is possible in all three countries, and representatives can perform some formation steps. Remote company formation nevertheless depends on the power-of-attorney form, apostille or legalisation, translation and availability of domestic electronic identification. Even if incorporation is completed without a visit, a bank may require the director or ultimate beneficial owner to attend personally.

What does it cost to form and maintain the company?
The state fee is usually a small part of the budget. Include translation and notary costs, apostille or legalisation, registered address, accounting, filings, electronic signature, bank compliance, residence applications, work authorisations, payroll, office and any licence.
The real cost of opening a company in Armenia, Georgia or Azerbaijan depends on ownership, nationality, activity, remote filing and the level of actual presence required.
Where to open an IT company, SaaS business or game studio
For a software company, SaaS project or game studio, tax rates are only one variable. Examine ownership of intellectual property, developer agreements, management location, payment platforms, currencies, technology-export rules and investor expectations.

The most effective jurisdiction is not the one that issues a register extract most quickly. A good country for international business must support agreements, payments, people, the tax model, residence, an office and the owner’s future strategy at the same time.
Armenia is strongest where technology, team, the EAEU and a clear entrepreneurial residence basis matter. Georgia stands out for growing businesses that reinvest profits and use international trade and digital tools. Azerbaijan makes sense where the company participates in the real Caspian economy, industrial infrastructure or logistics.
